Terms of Service

1. Acceptance of Terms

By accessing or using the IonArchive API, website, and services (collectively, "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

IonArchive provides an API and web interface offering battery specifications, degradation predictions, second-life valuations, and related data ("Battery Intelligence"). Our database aggregates information from manufacturer specifications, publicly available datasets, and open-source research.

3. API Access

IonArchive provides free API access to all users. We reserve the right to enforce rate limits to ensure service stability for all users.

4. Data Accuracy Disclaimer

IMPORTANT: Battery specifications, degradation predictions, second-life valuations, and any other Battery Intelligence provided by IonArchive are estimates and models based on publicly available data, manufacturer specifications, and academic research. They are not guaranteed to be accurate, complete, or current.

IONARCHIVE EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Accuracy of battery specifications
Reliability of degradation predictions
Appropriateness of second-life valuations for any specific use case
Fitness of data for any particular purpose

The Service is provided "AS IS" and "AS AVAILABLE."

5. Not Financial or Professional Advice

IonArchive data does not constitute financial, technical, legal, or professional advice. Before making any decisions based on our data—including purchasing, selling, or disposing of batteries—you should consult qualified professionals.

6. Acceptable Use

You agree NOT to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to any systems
Interfere with or disrupt the Service
Use automated tools to scrape our database en masse without written permission
Resell or redistribute IonArchive data without authorization
Exceed the API rate limits

7. Intellectual Property

Our data: Battery specifications and aggregated intelligence are provided under the licenses of their original sources. Manufacturer specs are public information.
Our code and branding: The IonArchive name, logo, API design, and software are our intellectual property.
Your content: You retain ownership of any data you submit through the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IONARCHIVE AND ITS OPERATORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, data, or business opportunities
Damages arising from decisions made based on IonArchive data
Errors, inaccuracies, or omissions in battery specifications or predictions
Service interruptions or downtime

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. EU Battery Passport Notice

IonArchive data may reference EU Battery Regulation requirements. We are not a certified EU Battery Passport issuer. Our data may be used as reference information, but compliance with EU Battery Regulation is the responsibility of manufacturers, importers, and obligated parties.

10. Service Availability

IonArchive is provided free of charge. We make reasonable efforts to maintain accuracy and availability but cannot guarantee uninterrupted service.

11. Termination

We may suspend or terminate your access at our discretion if you violate these Terms. Access may be revoked at any time.

12. Changes to Terms

We may update these Terms from time to time. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Wilmington, Delaware for the resolution of any disputes arising out of or relating to these Terms or your use of IonArchive.

15. Indemnification

You agree to indemnify, defend, and hold harmless IonArchive and its officers, directors, employees, and agents from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of IonArchive, including but not limited to: (a) any application of battery data obtained through IonArchive to actual devices or systems; (b) any claim that the data caused or contributed to property damage, injury, or financial loss; or (c) your violation of these Terms.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL IONARCHIVE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF IONARCHIVE EXCEED FIFTY UNITED STATES DOLLARS ($50.00), REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER IONARCHIVE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL IONARCHIVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, OR GOODWILL, REGARDLESS OF THE THEORY OF LIABILITY.

The foregoing limitation shall not apply to damages arising from death or personal injury where applicable law prohibits such limitation, or to liabilities that cannot be limited under mandatory applicable law.

17. Disclaimer of Warranties

IONARCHIVE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. IonArchive makes no warranty that the service will be uninterrupted, secure, or error-free.
